Workline Terms of Service - India

  • Objective

      Workline Private Limited ("Workline"), a company incorporated under the laws of India, provides cloud-based Software as a Service ("Services") accessible through its website and related applications, including mobile applications. This Agreement ("Agreement") governs your ("You" or "Your") access to and use of these Services. By accessing or using the Services, You acknowledge that you have read, understood, and agree to be bound by the terms and conditions outlined herein.

  • 1. Service Description

      Workline offers a suite of cloud-based software solutions designed for Human Resource Operations and Data Management. Access to the Services requires a compatible internet browser and internet connectivity. You may utilize the Services for Your internal business or personal purposes, subject to the limitations outlined in this Agreement.

      Data Privacy Policy document shall be reviewed by Information Security Head once a year or at the time of any major change in existing environment affecting policy, whichever is earlier via My Gig Portal.

  • 2. Beta Services

      Workline may, at its sole discretion, offer certain Services in beta form ("Beta Services") for testing and evaluation purposes. The duration and success of any Beta Service are determined exclusively by Workline. Participation in Beta Services does not create any obligation for you to subscribe to paid Services. Workline reserves the right to modify, suspend, or discontinue any Beta Service without prior notice or liability.

  • 3. Free Trial

      Workline may provide a free trial period for its Services. This trial period will terminate upon the earliest of: (i) the expiration of the specified trial duration, (ii) the commencement of a paid subscription, or (iii) termination by Workline. Data entered or customizations made during the free trial may be irretrievably lost unless You subscribe to a paid plan, upgrade Your Services, or export Your data prior to the trial's conclusion. Services provided during the free trial are offered on an "as-is" basis, without warranties or liability, to the fullest extent permitted by applicable law.

  • 4. User Account Registration

      To access the Services, You must create a user account by providing accurate and complete information. If you represent an organization, using a corporate email address is highly recommended. You are obligated to maintain the accuracy and currency of your account information. Workline reserves the right to terminate any account containing untrue, inaccurate, outdated, or incomplete information.

  • 5. Usage Restrictions

      You agree to refrain from: (i) transferring or reselling the Services, (ii) providing services based on the Services without explicit authorization, (iii) sharing user licenses, (iv) reverse engineering or decompiling the Services, (v) accessing or using third-party links without agreeing to their respective terms and conditions, (vi) posting third-party links or utilizing their logos without permission, (vii) attempting unauthorized access to the Services, (viii) using the Services in a manner that could damage, disable, or impair their functionality, (ix) transmitting malicious code through the Services, (x) interfering with the integrity or security of the Services, (xi) distributing content that infringes upon the intellectual property or other rights of third parties, (xii) violating any applicable laws or regulations, (xiii) utilizing the Services for competitive analysis or benchmarking, (xiv) removing or altering any proprietary notices contained within the Services, (xv) using the Services in a manner that jeopardizes the security or sovereignty of India, (xvi) creating false identities, (xvii) disseminating misleading information, or (xviii) engaging in any unlawful activity within the territory of India.

  • 6. Prohibited Activities

      You are solely responsible for all content transmitted through the Services. You agree not to use the Services for any unlawful purpose or to transmit any illegal, defamatory, harmful, or offensive material, including but not limited to vulgar, pornographic, abusive, or infringing content. You are prohibited from transmitting unsolicited communications or engaging in spamming activities. Workline reserves the right to terminate Your access to the Services for any illegal, unauthorized, or prohibited activity.

  • 7. Third-Party Integrations

      The Services may integrate with third-party applications. Your use of such applications is governed by their respective terms and privacy policies. Workline assumes no liability for any third-party applications and may suspend, restrict, or remove access to them at any time without liability.

  • 8. Fees and Payment

      The Services are offered through various subscription plans. Your subscription will automatically renew unless you downgrade to a free plan or cancel at least seven (7) days prior to the renewal date. Subscription fees will be charged to your last used payment method. Workline reserves the right to modify subscription fees with prior notice. You will not be charged for using any Service unless you have opted for a paid subscription plan. You are responsible for paying all applicable taxes, including but not limited to Goods and Services Tax (GST), Value Added Tax (VAT), and sales tax.

  • 9. Organization Accounts and Administrators

      For organization accounts, You may designate administrators who can configure the Services and manage end users. You are responsible for maintaining the confidentiality of your account credentials and ensuring that all activities comply with this Agreement. Workline is not responsible for account administration. In the event of loss of control of administrator accounts, Workline may provide assistance in recovery, but you agree not to hold Workline liable for any actions taken in good faith.

  • 10. Privacy and Data Security

      Your use of the Services is subject to Workline's Privacy Policy. You are responsible for maintaining the confidentiality of Your account information and promptly notifying Workline of any unauthorized use. Workline is not liable for any loss or damage resulting from unauthorized access to Your account.

  • 11. Communications

      Workline may send you service announcements, administrative messages, and newsletters. You may opt out of newsletters but not service announcements and administrative messages.

  • 12. Complaint Handling

      Upon receipt of a complaint regarding your activities, Workline will forward the complaint to you. You are required to respond within ten (10) days. Failure to do so may result in Workline disclosing your contact information to the complainant.

  • 13. Grievance Redressal

      For any grievances arising under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021, please contact getitdone@workline.hr.

  • 14. Inactive Account Policy

      Workline may terminate unpaid user accounts that have been inactive for one hundred and twenty (120) days, with prior notice and an opportunity to back up your data.

  • 15. Hosting Location and Data Migration

      The location of the cloud facility hosting Your data is determined by Your region/country at the time of sign-up. Workline reserves the right to migrate your account to a different cloud facility. You are prohibited from masking your IP address during sign-up. If Your actual region/country differs from Your recorded region/country, Workline may migrate or terminate Your account.

  • 16. Data Ownership and License

      You retain ownership of the content you create or store using the Services. You grant Workline a non-exclusive, worldwide, royalty-free license to access, copy, distribute, store, transmit, reformat, publicly display, and perform your content as required to provide the Services.

  • 17. User-Generated Content

      You are solely responsible for the content You transmit or publish. If You are a news publisher, You must comply with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021. You agree not to make private content publicly available or use content from other users without permission. By making content available, you grant Workline the right to block or remove such content if it infringes upon third-party rights.

  • 18. Trademarks

      The trademarks "Workline," the Workline logo, and the names and logos of individual services are the exclusive property of Workline Private Limited. You are prohibited from using them without prior written consent.

  • 19. Disclaimer of Warranties

      The Services are provided "as-is" and "as-available," without any warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

  • 20. Limitation of Liability

      Workline shall not be liable for any consequential, incidental, indirect, special, punitive, or other damages. In no event shall Workline's total liability exceed the greater of ?50,000 or the fees paid by You in the preceding twelve (12) months.

  • 21. Indemnification

      You agree to indemnify and hold Workline harmless from any losses, damages, fines, penalties, or expenses arising from Your use of the Services, including any violation of this Agreement or infringement of third-party rights.

  • 22. Governing Law and Dispute Resolution

      Any dispute arising under this Agreement shall first be attempted to be resolved through good-faith negotiations between authorized representatives of both parties. If the dispute remains unresolved, it shall be exclusively resolved by the courts in Mumbai or another mutually agreed-upon jurisdiction within India, in accordance with Indian law.

  • 23. Suspension and Termination

      Workline may suspend or terminate Your account for suspected illegal activity, inactivity, or violation of this Agreement. You may terminate Your account if Workline materially breaches its obligations under this Agreement.

  • 24. Modification of Terms

      Workline reserves the right to amend this Agreement at any time with notice to You. If You object to material changes, You may terminate Your use of the Services.
